This also includes advising the client on negotiating and drafting business plans, private placement memoranda, stock purchase agreements, subscription agreements, voting agreements, investor rights agreements, certificates of designation, bridge loans and other similar documents.  We also ensure that all business activities and transactions are compliant with state “blue sky” and federal securities laws  and work closely with the attorneys in our intellectual property department to develop solutions tailored to our clients’ unique technologies and the industries in which they exist.
