The Private Capital and Emerging Companies Practice Area includes the full range of private equity investment-related activities, involving angel investors, venture capital transactions, as well as middle market and larger investments. We provide assistance that begins with advice on the type of entity, location of organization as well as creating basic organization documents. After the entity is formed, we counsel clients as money is raised through private placements of equity and debt, and in all aspects of the funding process. This also includes advising the client on negotiating and drafting business plans, private placement memoranda, stock purchase agreements, subscription agreements, voting agreements, investor rights agreements, certificates of designation, bridge loans and other similar documents.  We also ensure that all business activities and transactions are compliant with state “blue sky” and federal securities laws  and work closely with the attorneys in our intellectual property department to develop solutions tailored to our clients’ unique technologies and the industries in which they exist.
