Carl Bauer, a partner in the firm’s International practice group, concentrates in the areas of corporate, international trade and antitrust law. Having spent the majority of his time in the corporate world, he brings an insightful perspective to the table when assisting clients in recognizing new opportunities while, at the same time, minimizing risk.
Corporate. Helping a wide array of public and private companies in diverse industries gain a competitive advantage in the marketplace, Carl guides regarding strategies for growth, structure and governance. He creates, negotiates and reviews contracts and agreements relating to procurement, sales, marketing and transportation. His experience extends to the development of international trade and antitrust compliance programs, conducting corporate risk assessments and internal investigations and the creation of policies and procedures for crisis management.
International. For businesses operating overseas, Carl assists with compliance with U.S. export controls, economic sanctions, and embargoed country transactions, anticorruption laws including the Foreign Corrupt Practices Act (FCPA) and anti-boycott laws. He regularly aids with export, customs and FCPA audits.
Antitrust. Carl counsels international and domestic organizations in matters involving pricing, marketing and distribution, mergers, acquisitions and joint ventures. He advises regarding competitor communications, refusals to deal, trade association compliance, legislative matters, consumer protection issues and Robinson-Patman Act compliance.
