Carl Bauer, a partner in the firm’s International practice group, concentrates in the areas of corporate, international trade and antitrust law. Having spent the majority of his time in the corporate world, he brings an insightful perspective to the table when assisting clients in recognizing new opportunities while, at the same time, minimizing risk.

Corporate. Helping a wide array of public and private companies in diverse industries gain a competitive advantage in the marketplace, Carl guides regarding strategies for growth, structure and governance. He creates, negotiates and reviews contracts and agreements relating to procurement, sales, marketing and transportation. His experience extends to the development of international trade and antitrust compliance programs, conducting corporate risk assessments and internal investigations and the creation of policies and procedures for crisis management.

International. For businesses operating overseas, Carl assists with compliance with U.S. export controls, economic sanctions, and embargoed country transactions, anticorruption laws including the Foreign Corrupt Practices Act (FCPA) and anti-boycott laws. He regularly aids with export, customs and FCPA audits.

Antitrust. Carl counsels international and domestic organizations in matters involving pricing, marketing and distribution, mergers, acquisitions and joint ventures. He advises regarding competitor communications, refusals to deal, trade association compliance, legislative matters, consumer protection issues and Robinson-Patman Act compliance.

Background

For 16 years before joining the firm, Carl worked for Emerson Electric Co., serving most recently as vice president, associate general counsel and assistant secretary. During his tenure, he was lead counsel for more than 50 successful domestic and international acquisitions and responsible for all international legal affairs in Europe, the Middle East, Latin America, Canada and Africa.

While at Emerson, Carl created the International Trade Compliance Group where he developed specific compliance programs and training on import and export controls, anti-boycott regulations, and Foreign Corrupt Practices Act and anticorruption regulations worldwide. He also handled domestic and international antitrust compliance and transactional reporting matters, internal investigations on a wide variety of issues and advising on developing and implementing crisis management plans.

Carl’s legal career includes working in the law departments of Ralston and Energizer, as well as legal counsel to the St. Louis Blues Hockey Club during Ralston’s ownership of the team. Prior to his legal career, he was a carrier-based Navy pilot for 10 years and received numerous personal decorations for service in Vietnam.
