Dan Cooper is a member of the Corporate Services Group concentrating in the areas of tax, public finance, acquisitions and general corporate transactions.

For individuals and businesses, Dan aids with various federal and state income, sales, and employment tax issues. Nonprofit organizations, in particular, look to him for assistance in filing the necessary paperwork with the IRS when applying for Section 501(c)(3) tax-exempt status. Dan also provides counsel in the closing of merger and acquisition transactions, formation and succession planning.

Serving as bond and underwriters’ counsel to banks, municipalities, underwriters and developers, Dan assists in government and private activity bond financings by structuring terms to finance infrastructure projects, cash flow borrowings, redevelopment projects and other projects. In addition, he drafts tax compliance agreements and files required forms with the Internal Revenue Service.

For companies of all sizes, Dan drafts, negotiates and closes a variety of transactions. Most often he supports owners with structuring acquisitions, sales, risk analysis and prevention, agreements and planning for growth.

Dan’s experience extends to renewable energy and clean technologies. Keeping up-to-date on industry trends, he advises on the availability of federal and state tax incentives as well as possible impacts from the federal stimulus package, climate change, and carbon reduction initiatives.

Within the security clearance arena, Dan handles research related to the disclosure of confidential government information.

Background

Prior to law school, Dan was a sports business manager with IMG Academics. Running the business side of the baseball training facility, he focused on marketing, sales, budgeting, development and strategic planning. He was also charged with scheduling the spring tournaments and summer leagues for college and high school teams.
