As a member of the firm’s Corporate Services practice group, Elizabeth Richards concentrates on securities regulation and general corporate matters.
Knowledgeable in the formation and ongoing representation of investment funds, including hedge funds, private equity funds and similarly-managed investment vehicles, Elizabeth has counseled in the organization and operation of commodity pools, hedge funds and commodity trading advisors. She drafts and updates disclosure documents and advises and assists clients regarding compliance with federal and state regulatory requirements.
Elizabeth advises and assists businesses with corporate governance and disclosure requirements in connection with public and private securities offerings. She prepares and rule-checks SEC filings including Forms S-1, 10-K, 10-Q, 8-K, and 15; Forms 3, 4, and 5; and Form D.
Her experience extends to advising pensions, charities, funds of funds and family offices regarding investment management.
