Irina Sandler, who is fluent in Russian and English, represents U.S. companies in global and domestic commercial transactions and advises on international trade regulations. She provides practical, cost-effective and business-oriented solutions to both routine and complex legal and business issues.

Her export control work includes matters involving the Export Administration Regulations administered by the Department of Commerce, the International Traffic in Arms Regulations administered by the State Department, and the economic sanctions programs administered by the Office of Foreign Assets Control of the Treasury Department. Irina designs internal controls, risk-management and compliance programs for these regulatory schemes, reviews existing compliance programs, and provides improvement solutions.

A thorough understanding of foreign laws and the U.S. investor’s objectives enables Irina to develop practical and serviceable commercial solutions in compliance with local laws. She works with clients to facilitate relationships with distributors, trade representatives, agents, licensees, suppliers, independent contractors, joint venture partners and foreign subsidiaries. These transactions principally involve clients in the medical device industry, industrial equipment manufacturing, food and dietary supplements industry, commercial products manufacturing and customer service industries.

Skilled in bridging cultural differences and fostering communication with U.S. clients’ foreign subsidiaries, Irina counsels clients on cross-border labor and employment, personal data protection and cross border transfer of personal data issues. She develops innovative training programs on commercial and compliance business aspects.

Irina structures and implements optimal foreign direct investment in Russia, advises on import and export procedures, public procurement, commercial and distributorship laws. She also crafts know-your-customer programs designed to manage anti-bribery compliance risk in countries where violations of the Foreign Corrupt Practices Act are likely to occur.

Background

Prior to joining Armstrong Teasdale, Irina served as in-house counsel for Emerson Electric in Russia, where she developed and implemented a system of legal services and risk management for the company’s business units. She investigated commercial intermediaries and reviewed transactions for compliance with Russian laws. Irina also advised on Russian currency controls, customs, commercial and competition laws.

As a media consultant in Russia, Irina worked with U.S. TV production and media companies, including National Geographic and New York based literary agency, Trident Media Group, on unique projects ranging from documentaries to non-fiction books about Russia published in the U.S.
