A significant portion of Phil Louis’ practice is devoted to the handling of a wide variety of business matters on behalf of commercial enterprises. He has handled numerous contractual arrangements, acquisitions and mergers and shareholder disputes. His practice also includes transactional and regulatory matters in the antitrust area and for financial institutions and tax planning and IRS controversy work. He has extensive experience with respect to tax-exempt organization matters, including those related to health organizations, such as application for tax-exempt status and transactional structuring to maintain tax-exempt status and avoid private inurement.

Background

Before entering law school in 1980, Phil practiced as a certified public accountant in auditing and tax. Upon graduation from law school in 1983, he commenced employment as a law clerk at the Missouri Court of Appeals, Eastern District. In 1984, he joined the law firm of Shepherd, Sandberg and Phoenix (now Sandberg, Phoenix and von Gontard), a defense litigation firm, where he primarily handled commercial, products liability and medical malpractice litigation matters.
