Rob Kinz counsels public and private companies of all sizes in a wide array of legal and business matters. Primarily concentrating in the areas of mergers & acquisitions, strategic alliances, commercial/licensing, real estate, and energy matters, Rob’s business experience allows him to augment his legal advice with practical counseling and financial analysis that is uncommon among traditional providers of legal services.
Mergers & Acquisitions and Strategic Alliances. Rob has been involved in over 50 mergers & acquisitions and strategic alliances with deal values up to $7 billion dollars. Representing public and private companies and their individual business units, funds, and individual investors, Rob handles matters ranging from high profile, public transactions to those involving family businesses. Across multiple industries, including pharmaceuticals, manufacturing, distribution, and health care, he counsels his clients on their business purchases, dispositions, joint ventures/strategic alliances, restructurings, spin-offs, and private placements. He also has extensive experience negotiating and drafting shareholder, partnership, and limited liability company operating agreements.
Commercial/Licensing. Rob negotiates and drafts agreements for a variety of small and large commercial transactions. His extensive experience includes purchase & supply agreements; manufacturing, distributorship and sales representative agreements; executive employment, consulting, and other services contracts; confidentiality and non-disclosure agreements; technology licensing arrangements; joint development arrangements; software licensing agreements; and patent and trademark licensing agreements.
Real Estate. Drawing on experience gained through his involvement in hundreds of commercial real estate transactions, Rob assists clients with acquiring, selling, developing, constructing, financing, leasing, and managing real estate projects of all types and sizes. He regularly negotiates and drafts purchase & sale agreements, development agreements, construction contracts, and leasing agreements.
Energy & Carbon. Rob represents sellers of energy and GHG/carbon emission credits, independent power plant owners, and developers of GHG/carbon reduction projects. He negotiates and drafts a variety of contractual arrangements in the energy and GHG/carbon field, including power purchase agreements, gas purchase and pipeline development agreements, GHG/carbon credit aggregator agreements, and carbon credit purchase & sale agreements.
Litigation Management. In addition to the corporate legal services he provides, Rob also regularly supervises local counsel in major litigation around the United States for his corporate clients, including lawsuit valuation based on decision tree analysis, litigation strategy, discovery coordination, and settlement negotiation.
