Steve Foristal is a member of the firm’s Corporate Services practice group, counseling clients in matters related to the formation, operation, growth and transfer of business interests. He primarily concentrates in the areas of mergers and acquisitions, private capital and emerging companies, complex investment transactions, alternative investments, technology and licensing agreements and general corporate law, including corporate governance.

For a wide array of public and private companies, he counsels on various aspects of merger, acquisition, and disposition of businesses and assets, including pre-transaction planning and negotiations of letters of intent; due diligence investigations and data room management; drafting and negotiation of key transaction and closing documents; and coordination and management of transactions from inception through post-closing.

Supporting growing businesses, Steve guides companies in corporate formation and funding. He negotiates shareholders’ agreements, operating agreements and credit facilities and routinely advises on a wide array of commercial contracting issues.

Background

While earning his law degree, Steve joined the firm as a summer associate and continued on as a law clerk during the school year. During that time, he also served as an intern law clerk for The Honorable William Stiehl of the U.S. District Court for the Southern District of Illinois. Prior to attending law school, he worked as a financial analyst with The Boeing Company.
