With more than 20 years of experience, Tim McFadden represents large and small privately held companies with respect to all of their transactional legal work. The majority of his practice involves mergers and acquisitions, venture capital, corporate finance, securities and general corporate advice.
For both existing and emerging organizations, Tim assists with expansion opportunities, corporate governance and corporate structure issues. He aides in entity formation, structuring incentive compensation plans, negotiating and drafting business contracts and with issues related to employment law, intellectual property and real property. Tim has successfully closed large transactions of all types including mergers, asset purchases, stock purchases and recapitalizations.
Across a wide array of industries, Tim counsels clients with respect to general corporate and governance concerns. He helps with respect to liquidity events, private placements and executive incentive plans. His experience extends to advising on commercial loans and loan restructuring including asset based financing, leverage buyout financing, international letters of credit and banker’s acceptances financing, partnership financing, mortgage banking transactions and restructuring of leverage buyouts.
Active in firm management, Tim is a member of the nominating committee and hiring committee. For ten years, Tim was the firm’s marketing partner where he led the marketing department and was responsible for marketing and sales strategy and implementation, sales training, branding, public relations, marketing technology, hiring marketing personnel and management of the group. During his tenure, revenues increased by 80% and profitability increased by over 100%.
