Tyler Frank guides public and private clients from various commercial industries in matters related to business operations and growth. He primarily concentrates on mergers, acquisitions and sales of businesses, commercial transactions, corporate formation, and commercial real estate transactions.

Mergers and Acquisitions. In his mergers and acquisitions practice, Tyler represents both purchasers and sellers in transactions ranging from $5 million to $100 million in purchase price. He provides realistic advice in determining the most beneficial form and structure of the contemplated transaction for minimizing operational inefficiencies and tax exposure as well as drafting and negotiating the definitive and all ancillary agreements associated with such transactions.

Commercial Transactions. Representing Fortune 100 to Fortune 500 companies as well as various privately held businesses, Tyler assists in all phases of their business from their purchase of raw materials and component parts to the ultimate lease, license or sale of various finished products and services. He drafts and negotiates purchase agreements, terms and conditions, joint ventures agreements, and other related agreements with a focus on risk allocation among the constituent parties.

Real Estate. Tyler assists in developing contracts related to the purchase, sale, or lease of real property, typically in connection with his clients’ acquisition, sale or merger of an existing business. He also advises certain settlement service provider clients on various matters involving Section 8 of the Real Estate Settlement Procedures Act (RESPA) and the creation of joint ventures relationships between such service providers.
