Financial Services and Banking

Our financial services and banking team is comprised of lawyers from the firm’s banking, corporate finance, tax credit financing, debtors/creditors rights and bankruptcy practices. The team represents numerous financial institutions as general and special counsel both on a continuing and “special projects” basis. These financial institutions include: state and national banks, bank and thrift holding companies, federal and state savings and loan associations and savings banks, asset based lenders, credit unions, mortgage and investment bankers, insurance companies and tax credit equity investors.

We are involved in all phases of representation of financial institutions, including such matters as: loan transactions, tax credit equity investments and financing, new bank and bank holding company formation, the acquisition and sale of existing banks, bank mergers, branch transactions, electronic fund transfers, development of credit and debit cards, the formation of nonbank subsidiaries of banks and the public offering of bank stocks and bank holding company securities.

In addition, the team provides general corporate representation, advice and counseling in regulatory and operational matters, and applications and representation before a number of federal and state agencies, including the Federal Reserve Board, the Comptroller of the Currency, the Federal Deposit Insurance Corporation (FDIC), the Consumer Financial Protection Bureau, the Missouri Divisions of Finance, and the Illinois Department of Financial and Professional Regulation. Our lawyers also assist with lender liability issues and counsel on preventative measures.
