As an attorney in the Corporate Services practice group, Matt Schuckman serves companies in a broad range of industries in all phases of their development and growth. He focuses on the areas of general corporate law, technology licensing and transfer, mergers and acquisitions and private capital emerging companies. Matt’s M.B.A., coupled with his legal experience, enables him to provide a unique and sympathetic viewpoint into organizational behaviors and motivations. He provides insightful legal analysis in conjunction with operational strategies and ideas to manage risks.

A large portion of Matt’s time is spent counseling organizations on various aspects of commercial transactions involving technology assets, frequently in the context of mergers, acquisitions and dispositions of businesses and assets. He provides valuable assistance to business organizations by coordinating and managing acquisition and divestiture transactions from inception through post-closing. Handling deals with values ranging from hundreds of thousands to hundreds of millions of dollars, Matt guides clients through pre-transaction planning and negotiation of letters of intent, due diligence investigations and data room management, and the drafting negotiation of key transaction and closing documents.

Matt works with entrepreneurs and startup companies as well as established and emerging growth companies in the structuring, restructuring and alignment of their business goals. He partners closely with our patent and trademark attorneys on commercial matters involving high value intellectual property and counsels clients regarding corporate formation and funding issues, including the negotiation of shareholders' agreements, partnership and operating agreements and joint venture documentation, as well as advising on the administration and governance of the business entity throughout its life cycle. Matt also has experience serving as outside general counsel for clients, acting to provide general legal advice on a wide array of matters, and serving to fill the legal counsel and risk management function for clients without a dedicated in-house counsel infrastructure.

Additionally, Matt aids in a wide array of commercial contracting issues including the negotiation and drafting of: letters of intent, due diligence investigation, data room management, key closing documents, and contracts for hosted platforms, software and data solutions, software as a service, application development, testing and maintenance, licensing and other technology services. He also has focused heavily on supply and manufacturing agreements and other vendor contracts and leases.
