The parties’ common valuation assumptions are the key in charting the path to a completed agreement. In this session, we will describe how these valuation assumptions must be incorporated into key provisions in the agreement, including the financial accounting representations, purchase price adjustments, earn-outs and damages and other remedy provisions. We will also discuss how disputes relating to these provisions can be resolved. Getting through this requires teamwork among the clients, the client’s financial advisors and legal counsel with an in-depth understanding of issues related to valuation and financial accounting.
