Biography
Kameron Hillstrom has in-depth experience assisting clients with U.S. regulatory issues related to fund structure and formation, derivatives, marketing, registration and compliance requirements for U.S.- and non-U.S.-based investment advisers, ERAs and broker-dealers.
His practice focuses on advising financial institutions and managers of hedge and private equity funds on a wide variety of fund formation, fund investment and regulatory issues. He advises on all aspects of private equity and hedge fund formation, including fund structuring, drafting and negotiating fund documents for various fund strategies and sizes. Kameron routinely advises fund clients on Investment Company Act considerations and exemptions.
He also counsels clients on Investment Adviser Act requirements and exemptions at the federal and state levels; drafts investor consents and required documentation for investment adviser buyout, mergers and acquisitions to comply with U.S. law; drafts compliance manuals and required disclosure agreements for participating affiliate agreements; and advises clients on domestic and international registration and filing requirements as investment advisers or exempt reporting advisers in the United States.
Kameron leads investor due diligence and fund reviews, including KYC/AML disclosure, coordinating responses to subscription agreements and investor requests, and negotiating side letters to address investor-specific requirements for high-net-worth individuals, U.S. and non-U.S. investors, and institutional investors.
Kameron’s corporate experience includes performing due diligence for mergers and acquisitions; drafting purchase and sale agreements, operating agreements and various M&A required legal opinions; and assisting with merger negotiations and client requirements/carveouts.
Background
Prior to joining Armstrong Teasdale, Kameron was an associate at another D.C.-area law firm. Before that, he was assistant general counsel at the North American Securities Administrators Association.
