Secured summary judgment for private equity investors against complex claims alleging the defendants tortiously interfered with a Delaware limited liability company operating agreement in connection with a minority cash-out merger transaction. The Circuit Court of the Fifteenth Judicial Circuit, Ogle County, Illinois, which made its ruling moments before the jury was to be called into the courtroom to start the jury selection process, entered a complete defense judgment with no liability for the clients.
Settlement for Semiconductor Manufacturer in International License Dispute
Represented a major semiconductor manufacturer in a dispute filed by a competitor in Delaware court. The plaintiff, also a major semiconductor manufacturer, asserted claims for breach of a patent cross-license and supply agreement in this highly competitive industry, and sought to recover substantial damages. After dozens of international depositions and important rulings on substantive motions, the parties entered into a confidential settlement agreement.
Dismissal for International Law Firm Client in Malpractice Complaint
Secured a dismissal, with prejudice and without leave to replead, of a legal malpractice complaint against one of the largest international law firms in the world. A former client alleged that the law firm committed legal malpractice in connection with a representation concerning labor relations and a union vote. The former client alleged that the union vote would have turned out differently if the law firm had done certain routine things that labor lawyers consider standard. We argued that this was too speculative, and the court agreed.
