Armstrong Teasdale’s financial services attorneys are focused on protecting our clients’ interests in a variety of commercial finance transactions. We represent both financial lenders and borrowers in leveraged buyouts and loan transactions. Our services also include providing advice on the legal consequences of specific loan structures; documenting secured and unsecured commercial loans; advising on subordination and priority of security; structuring asset-backed securities for sale in capital markets; advising on letters of credit, swap agreements and other financial transactions; advising on invoice discounting, senior and mezzanine financing transactions; representing clients in connection with various forms of tax-exempt and tax-assisted transactions; counseling lenders that provide debtor-in-possession financing; and advising on enforcing and protecting lenders rights.
Working closely with the firm’s Real Estate and Restructuring, Insolvency and Bankruptcy attorneys, we also represent clients in resolving issues in connection with troubled loans and special assets, commercial and residential loans and litigation, and real estate owned properties (REOs), as well as in matters involving creditors’ rights.
In addition, the U.S. team provides representation, advice and counseling in regulatory and operational matters and applications before a number of federal and state agencies, including the Federal Reserve Board, the Comptroller of the Currency, the Federal Deposit Insurance Corporation (FDIC), the Consumer Financial Protection Bureau, the Missouri Divisions of Finance and the Illinois Department of Financial and Professional Regulation. Our attorneys also analyze the application of Internal Revenue Service (IRS) rules and guidance.
