Assisted the in-house team at the world’s second-largest stable coin company by reviewing, negotiating and drafting commercial agreements including master service agreements (MSAs), nondisclosure agreements (NDAs), statements of work (SOWs), software as a service (SaaS) and licensing agreements.

$6.6 Million Series A Round and Strategic Licensing Relationship

Advised fintech company on completion of Series A venture capital investment round in which more than $6.6 million was raised. In addition, advised client on establishing a strategic licensing relationship to develop a customized version of the client’s proprietary investment technology platform, which the lead Series A investor will commercialize within the Hong Kong market.

Software Assets Acquisition for Communications Company

Assisted client in the assets acquisition of a software company for an accessibility tool in the field of video streaming and linear TV. Conducted due diligence review, negotiated and documented the transaction.

Represented a manufacturer and marketer of pet care and nutrition products in its $135 million acquisition of a wholesaler of small-animal wellness brands. Handled diligence on all intellectual property and information technology aspects of the transaction.
