Negotiated the related agreement with the system implementation partner, addressing project governance, delivery milestones, data security, and risk allocation for a large-scale enterprise deployment.
Legacy System Transition and Application Wind-Down
Advised a multi-hospital health system on the transition from legacy EHR and ERP platforms in connection with enterprise modernization efforts. Negotiated the wind-down and termination of complex licensing, hosting, subscription, and services agreements, as well as transition services, data access, and post-termination obligations, to support operational continuity during phased system migration.
Enterprise EHR Implementation and Vendor Ecosystem
Led the negotiation of enterprise health record (EHR) licensing and hosting agreements for a multi-hospital health system, including Epic software and related modules. The engagement encompassed negotiation of core commercial terms, data use and ownership, information security requirements, and healthcare-related regulatory provisions, as well as coordination of third-party agreements supporting system-wide implementation.
$2 Million Series A Issuance for Fintech Client
Represented a financial technology company in its issuance of more than $2 million in Series A Preferred Stock. Worked with the company to integrate Series A preferences with Series Seed preferences. The company was able to fund expansion in operations.
$105 Million License Agreement Renewal
Represented the licensor, a national telecommunications company, in the five-year, $105 million renewal of its unlimited license agreement with a cloud application and platform company.

Negotiated a multi-year Infrastructure as a Service (IaaS) cloud services agreement with a large cloud provider, valued at $500 million.
