Tom Bottini works with foreign and domestic companies of all sizes in all aspects of international commercial and financial transactions, foreign direct investment global management, intellectual property protection and international trade. Familiar with the nuances of local laws in many countries, Tom reviews the economics to save organizations time and money and help them develop worldwide networks. From 2001 to 2003, he served as chief representative of the firm’s office in Shanghai, China.

Whether a company wishes to establish a new business or desires to increase its existing global presence, Tom advises on the optimal structure and risks involved for a foreign direct investment. He guides in corporate formation, finance and capital investment, tax structures, local ownership issues in joint ventures, rules for investors and investment issues, intellectual property, due diligence, selling over the Internet and employment/personnel matters.

For lenders, manufacturers/sellers or other parties extending overseas financing, Tom assists with guarantees, letters of credit, negotiable instruments, counter-trade and documentary collections. He is also experienced in swap contract deals.

In addition to a broad commercial and financial practice experience, Tom advises clients on manufacturing and high technology investments in other countries, regulatory compliance issues (customs, import/export restrictions, Foreign Corrupt Practices Act), establishing representations and distributorships abroad, and in the legal, financial and tax details of international trade.

With an understanding of the chemical and aerospace industries, Tom can spot the implications and limitations that are often at the core of international trade compliance issues. He represents clients in antidumping, safeguard and other trade-remedy actions before the International Trade Commission and the Department of Commerce.

Background

Prior to joining the firm, Tom practiced in the legal departments of Monsanto Company (Assistant International Counsel) and McDonnell Douglas Corporation (Chief Counsel - International) where he was involved in a broad array of international projects, acquisitions and transactions in Latin America, Asia and Europe.
