Advised AIM-Quoted Oil and Gas Exploration Company, Baron Oil Plc, on an Equity Fundraising
Advised Baron Oil Plc on its recent oversubscribed equity fundraising by way of a placing and subscription. Allenby Capital Limited acted as the Company’s broker in connection with the fundraising.
Baron Oil is an independent AIM-quoted oil and gas exploration company which currently holds exploration acreage in the U.K. and Timor-Leste.
The majority of the net proceeds of the fundraising will be applied towards activities in relation to the Company’s operations in Timor-Leste, namely the TL-SO-19-16 PSC (Chuditch) project, where the Company is focused on setting up a potential two-well drilling campaign for Chuditch in 2023. In addition, the Company will apply some of the net proceeds from the fundraise towards progressing key decision points on the Company’s UK P2478 Licence project situated in Inner Moray Firth.

Beat Force Majeure Claims and Secured $3 Million in Damages in Pandemic-Driven Dispute
Represented WideOpenWest, a cable TV, internet and phone provider, before a panel of arbitrators on dueling breach of contract claims after WideOpenWest terminated its agreement with ad partner Viamedia in the midst of the COVID-19 pandemic. In the arbitration, Viamedia contended that the pandemic, as a force majeure event, excused its failure to pay WideOpenWest. The panel found Viamedia liable for breach of contract and awarded WideOpenWest nearly $3 million in damages, plus attorneys’ fees and costs.

Advised long standing client which is an AIM-listed oil and gas exploration, development and production company, on its $16 million acquisition of an Egyptian company which includes a 22% non-operating interest in a producing concession, onshore Egypt. The consideration for the acquisition was funded by the issue of consideration shares in the buyer to the seller, a pre-payment financing structure of $8 million and the issue of placing and subscription shares by the buyer.

Represented one of the largest natural resources mining and processing technology companies in an infringement case regarding a chemical-engineering process for the manufacture of soda ash. Argued multiple terms in a Markman hearing and successfully argued against a motion to dismiss in an oral argument in the U.S. District Court for the District of Delaware, after which the judge ruled in our client’s favor.
$50 Million Settlement for Multinational Telecom Company’s Former Employees with Disabilities in Light of Bankruptcy
Served as lead counsel for the Official Committee of Long Term Disability Participants in the bankruptcies of a multinational telecom company, in which he secured a settlement of more than $50 million for the company’s former employees with permanent disabilities.
